Terms of Service.

01. Deposits & Milestones

To officially initiate a project with D-KODE, a 50% upfront deposit is required. The remaining 50% balance is due when the project is nearing completion.

Payment Breakdown:

• Standard Flow: You will pay 50% at the start. After the project is 95% complete, we will ask for the final payment via our tracking page. You can pay anytime, but full ownership and admin panel access will not be granted until the total amount is cleared.
• Domain Names: Domain prices (e.g., .com, .lk, .hu) are not included in the 50% deposit. If you order a website + domain, you must pay the 50% project deposit PLUS the 100% domain cost upfront.
• Installment Plans: If preferred, payments can be split into 4 quotas. Opting for this 4-part structure will add a 4% surcharge to your total project cost.

03. Developer Rights & Promotions

As the creators of your digital assets, D-KODE retains specific rights to showcase our craftsmanship and claim credit for the development of the project.

• Footer Attribution: We will add a discrete "Designed & Developed by D-KODE" link to the footer of your website.
• Promotional Content: We record video walkthroughs of the finished projects. We reserve the right to upload these to our YouTube, Instagram, TikTok, Facebook pages, and WhatsApp statuses.
• Portfolio Listing: Completed projects will be proudly listed and displayed on our official "Works" page.

05. Website Subscription Plan (WaaS) Terms

1. Initial Payment

To initiate a Website Subscription Plan (WaaS), the client must pay:

• The required Setup Fee.
• The first month's subscription fee upfront.
• Any applicable domain registration or renewal fees.

Work on the project will only begin after the initial payment has been received and confirmed.

2. Subscription Services

The monthly subscription includes:

• Website hosting
• Security updates
• Technical maintenance
• System monitoring
• Basic support services
• Backup management (if included in the package)

Additional features or custom development may incur extra charges.

3. Ownership & Access

Under the Website Subscription Plan (WaaS):

• The website, source code, databases, and server infrastructure remain the property of D-KODE during the subscription period.
• The client receives full rights to use the website for their business.
• Full source files, database exports, server access, and administrative ownership are not included in the subscription.

4. Website Buyout & Ownership Transfer

If the client wishes to obtain complete ownership of the website and all associated files, they must pay:

• The remaining balance of the website's full retail price, plus
• An Ownership Transfer Fee equal to 15% of the website's full retail price.

Once payment is completed, D-KODE will provide:

• Source code
• Database export
• Website files
• Administrative access
• Ownership transfer documentation (if applicable)

5. Subscription Cancellation

• The client may cancel the subscription at any time.
• All setup fees and subscription payments are non-refundable.
• Failure to pay monthly fees may result in suspension or termination of services.
• Cancellation does not grant ownership of the website or its files.

6. Payment Default

If the monthly subscription remains unpaid for more than 30 days:

• The website may be suspended.
• Hosting and support services may be discontinued.
• Data may be removed after a reasonable retention period.

7. Domain Ownership

Domains purchased on behalf of the client remain the property of the client upon full payment of registration fees.

8. Acceptance of Terms

By subscribing to a Website Subscription Plan (WaaS), the client agrees to these terms and understands that the monthly subscription is a managed service and does not automatically transfer ownership of the website, source code, or infrastructure.

D-KODE reserves the right to update these terms and conditions when necessary.
